MWStake board meeting (Bylaws)

Missing members of the board include Cindy Cicalese and James Montalvo. The purpose of the meeting was to discuss and finalize the group's bylaws, comments from those missing were posted on the talk page.

  1. Markus pointed out multiple conflict of interest sections (5.9 & 8.5.3)
    • Bryan asked if the proposal is to combine and move to the finance section (8.5.3)
      • Markus noted that there might be non-financial conflict of interest topics so combining into finance might not be ideal
    • Bryan asked if we should combine into the director section (5.9) since either (financial or non-financial) effects directors
      • Markus believes it should be it's own section
      • Mark suggested we reach out to Frank, then follow-up with the lawyers if needed
  2. Markus asked if voting by email ("circular agreement") were permitted since he couldn't find an answer in the bylaws, but another group's bylaws he is familiar with allows it
    • Bryan asked Markus if he could provide the text for the voting by email in the other bylaws
      • Markus notes the bylaws are in German, but can send, just not sure if it is needed
    • Mark proposed to investigate this further but leave for now
      • We can ask Frank and follow-up with the lawyer if needed
    • Sabine suggested not including anything in the bylaws that are subject to change (specific tools, ways to communicate, ways to find consent, etc.)
  3. Markus noted there were a few spelling mistakes
    • Mark suggested anyone is free at this point to correct any minor mistakes
  4. Lex and Mark discussed the use of the word "Patronage"
    • Mark - The word isn't used as often, perhaps "Sponsorship" is a better word
    • Lex - As long as "Sponsorship" does not imply "paying for"
